Bunurong Land Council Aboriginal Corporation (BLCAC) is seeking an experienced Specialist Independent Director to join our Board and contribute specialist expertise in corporate governance, financial stewardship and strategic oversight. BLCAC is the Registered Aboriginal Party (RAP) for the Bunurong cultural heritage area and plays an important role in protecting Bunurong cultural heritage, Country, culture and community. This is an opportunity for an experienced Director, senior executive or governance professional to bring independent judgement, specialist expertise and constructive challenge to the governance of an Aboriginal organisation, while working respectfully alongside Bunurong member Directors.
The Specialist Independent Director will contribute to the collective responsibilities of the BLCAC Board, with a particular focus on:
• strengthening corporate governance and Board effectiveness
• providing oversight of financial stewardship, financial reporting, audit and organisational risk
• contributing to corporate strategy and long-term organisational sustainability
• supporting effective Board oversight of BLCAC's Native Title operations and responsibilities as a Victorian Registered Aboriginal Party
• providing independent advice, informed judgement and constructive challenge to Board deliberations.
The role is strategic and governance focused. The Board provides oversight and direction, while responsibility for the day-to-day management and operation of BLCAC rests with the CEO and management team.
Directors are expected to exercise appropriate care and diligence, act in good faith, manage conflicts of interest appropriately and contribute to sound governance and decision-making.
We are looking for an experienced and collaborative Board contributor who can bring specialist expertise and an independent perspective.
You will ideally have significant experience in one or more of the following areas:
• Corporate governance
• Significant governance experience, including experience as a Director, senior executive or governance professional, preferably within a complex or regulated organisation.
• Completion of the Australian Institute of Company Directors (AICD) Company Directors Course or equivalent governance training will be highly regarded.
• Strong understanding of Director duties, governance, accountability and risk.
• Experience contributing effectively to Board decision-making and oversight.
• Financial stewardship
• Strong financial literacy and experience interpreting corporate financial reporting.
• Experience with financial controls, audit, risk management and organisational performance.
• Ability to critically assess financial information and provide clear advice to the Board.
• Strategy and organisational development
• Experience developing, implementing or reviewing organisational strategy.
• Experience supporting organisations through growth, change or transformation.
• Strong strategic and commercial thinking, with an understanding of long-term organisational sustainability.
• Legal, Native Title or regulatory experience
• Knowledge or experience in areas such as the Corporations (Aboriginal and Torres Strait Islander) Act 2006 (CATSI Act), Native Title, Aboriginal corporations, Registered Aboriginal Party responsibilities, Victorian Aboriginal cultural heritage legislation or corporate compliance will be highly regarded.
You do not need to have expertise across all of these areas. We are interested in the skills, experience and perspective you can bring and how these complement the existing Board.
The successful applicant will need to demonstrate a genuine commitment to working respectfully within an Aboriginal organisation and an understanding of Aboriginal self-determination.
The successful applicant will need to:
• Demonstrate relevant knowledge and experience in financial management, corporate governance, accounting, law, business or another field relevant to BLCAC's activities
• Meet the Director eligibility requirements of the CATSI Act and the BLCAC Rule Book
• Meet the family eligibility requirements for Board appointment under the BLCAC Rule Book
• Hold a Director Identification Number prior to appointment
• Hold a current National Police Certificate or obtain one within two months of appointment, in accordance with the Rule Book
• Consent in writing to act as a Director
• Sign BLCAC's Director Confidentiality Agreement and Director Code of Conduct within one month of appointment
• Have completed, or be prepared to complete, suitable governance training within the timeframe required by the Rule Book
The position is hybrid, based in Frankston, and requires a non-member Director with no interest in BLCAC other than their position as a Director. The role is for a two-year term, with a fee of $400 per day, up to 25 days per year ($10,000 maximum), plus superannuation.
The successful applicant will be required to:
• Attend Board meetings and provide input on governance, financial stewardship and strategic matters
• Work collaboratively with the Board and management team to ensure effective governance and strategic direction
• Provide independent advice and constructive challenge to Board deliberations
• Support the Board in its oversight of BLCAC's Native Title operations and responsibilities as a Victorian Registered Aboriginal Party
• Participate in the development and implementation of BLCAC's strategic plan
• Contribute to the development and implementation of BLCAC's financial management and risk management frameworks
• Participate in the development and implementation of BLCAC's governance policies and procedures
• Participate in the development and implementation of BLCAC's compliance and regulatory frameworks
• Participate in the development and implementation of BLCAC's cultural heritage and community engagement strategies
• Participate in the development and implementation of BLCAC's Indigenous employment and training programs
• Participate in the development and implementation of BLCAC's Indigenous business development and economic development strategies
• Participate in the development and implementation of BLCAC's Indigenous education and training programs
• Participate in the development and implementation of BLCAC's Indigenous health and wellbeing programs
